Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Viqu — our website at videoquery.site, our web application, and related APIs and services (together, the “Service”), operated by Proxima Core Technologies (“we”, “us”, “our”).
By creating an account or using the Service, you agree to these Terms and to our [Privacy Policy](/privacy). If you do not agree, do not use the Service.
1. Who we are and eligibility
Viqu turns a video into a searchable, chat-ready knowledge index: you submit a video by pasting a YouTube or web link or by uploading a file, we process it (transcription, scene/frame analysis, on-screen text, and embeddings), and you can then ask questions and receive answers with timestamped citations.
- You must be at least 16 years old (or older if the laws that apply to you require a higher age) to use the Service.
- You are responsible for your account, for keeping your credentials secure, and for the accuracy of the information you provide. Accounts are personal to you unless we expressly offer team or organization access.
- The Service is offered globally. These Terms are provided in English, and the English version controls unless we publish an official localized version.
2. The Service
The Service lets you submit sources, run our ingest pipeline, build a searchable index, chat with cited answers, and manage credits and subscriptions.
We may change, add, suspend, or discontinue features at any time. Where a change is material and practicable, we will provide reasonable notice. We do not guarantee that the Service will be uninterrupted, error-free, available at any particular speed, free from processing queue delays, or that AI outputs will be accurate or complete.
3. Your content and copyright
3.1 Your responsibility for submitted content
You represent and warrant that, for every URL or file you submit, you have all rights, licenses, consents, and permissions necessary for Viqu to access and analyze that content on your behalf — whether because you own it, are licensed to use it, or your use is otherwise permitted under the laws that apply to you. You are solely responsible for the content you submit and for ensuring your use of the Service complies with applicable law and any third-party terms (including YouTube’s terms).
3.2 License you grant to us
Solely to operate and provide the Service to you, you grant us a limited, non-exclusive, worldwide license to access, host, store, process, transcribe, index, embed, and display the content you submit and the data we derive from it. This license exists only to run the Service for you, to maintain and secure it, and to comply with law or enforce these Terms. We do not claim ownership of your content.
3.3 What Viqu is not
- Viqu is not a file-sharing, downloading, or piracy tool.
- We do not provide features whose purpose is to obtain, or to help you redistribute, original video or caption files. Where a transcript export is available, it is provided for your own use with content you were entitled to submit, and remains subject to applicable rights and these Terms.
- We may decline, limit, or delete jobs and derived indexes that appear abusive, unlawful, or infringing.
3.4 Copyright notices and takedown
If you believe content processed through the Service infringes your copyright, send a notice to uranus.app.ai@gmail.com including:
- Identification of the copyrighted work you claim is infringed.
- Identification of the material at issue and enough information to locate it (for example, the source URL or video identifier).
- Your contact information.
- A statement that you have a good-faith belief the use is not authorized by the rights holder, its agent, or the law.
- A statement that the information in your notice is accurate, and your physical or electronic signature.
We will review valid notices, may remove or disable access to the material, and may suspend or terminate accounts of repeat infringers. We follow this notice-and-takedown procedure as a matter of policy, regardless of the fact that these Terms are governed by the law of Pakistan.
3.5 Processing only on your submission
We process a source only after you explicitly submit it (a URL or an upload). We do not crawl or scrape the open web to index content without your request.
4. Acceptable use
You agree not to:
- Submit or generate content that is illegal, infringing, malicious, or that violates the rights or privacy of others.
- Upload malware or attempt to disrupt, overload, or gain unauthorized access to the Service or its infrastructure.
- Attempt to bypass authentication, credit metering, rate limits, or other technical or usage controls.
- Use the Service to process others’ content at scale without the necessary rights.
- Reverse engineer, decompile, or attempt to extract source code or models, except to the extent this restriction is prohibited by law.
- Resell, sublicense, or provide the Service to third parties except under a separate written agreement with us.
We may investigate suspected violations and may suspend or terminate access for conduct we reasonably believe breaches these Terms or harms the Service or others.
5. Credits, subscriptions, and payments
- Certain actions (such as ingesting a video or chatting) consume credits according to the pricing shown on the Service at the time.
- Paid subscriptions and one-time credit packs are sold and billed by our Merchant of Record, Paddle (the applicable Paddle contracting entity identified in Paddle’s Buyer Terms). Paddle acts as the authorized reseller of Viqu for these purchases, while Proxima Core Technologies provides and supports the Service.
- Paddle collects payment, issues your invoice or receipt, and calculates, collects, and remits applicable sales tax or VAT. Card charges generally appear as PADDLE.NET followed by our configured statement descriptor; PayPal charges may appear as PAYPAL PADDLE.NET.
- Refunds and automatic service-credit returns are governed by our Refund Policy. Subscription refund requests submitted within 14 days are reviewed case-by-case; one-time credit packs are generally non-refundable after delivery, especially once used.
- We may change prices; changes apply to future purchases and to renewals after we provide any notice required by law.
- If a payment fails or a chargeback occurs, we may suspend access and revoke affected credits.
6. AI outputs — no warranty of accuracy
The Service uses AI to transcribe, analyze, and answer questions about your content. Transcripts, on-screen text, visual descriptions, chat answers, and citations/timestamps are best-effort aids and may be incomplete or wrong. Outputs are not professional advice (including legal, medical, financial, or similar advice). You are responsible for reviewing outputs and for any decisions you make based on them.
7. Intellectual property
- The Service, including our brand, name, logo, user interface, and software, is owned by Proxima Core Technologies and protected by intellectual-property laws. Except for the rights expressly granted here, we reserve all rights.
- You retain your rights in the original content you submit and in your own prompts and notes, subject to the license in Section 3.2.
- If you send us feedback or suggestions, we may use them to improve the Service without any obligation or payment to you.
8. Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of your agreement with us.
9. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted or secure, or that outputs will be accurate. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
10. Limitation of liability
To the maximum extent permitted by law:
- We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service.
- Our total aggregate liability arising out of or relating to the Service and these Terms will not exceed the greater of (a) the total amount you paid us for the Service in the three (3) months immediately before the event giving rise to the claim, or (b) USD 50.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. This section allocates risk between you and us; it does not purport to exclude liability that cannot be excluded by law.
11. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Proxima Core Technologies and its officers, employees, and agents from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of or related to: (a) content you submit through the Service; (b) your use of the Service; or (c) your violation of these Terms or of applicable law or third-party rights.
12. Suspension and termination
You may stop using the Service at any time and may request deletion of your account (see the Privacy Policy). We may suspend or terminate your access if you breach these Terms, if we reasonably believe your use creates legal risk or harms the Service or others, or for non-payment.
On termination, your right to use the Service ends. Sections that by their nature should survive — including content ownership, licenses granted to us that are needed to comply with law, disclaimers, limitation of liability, indemnification, and governing law — survive termination.
13. Governing law and disputes
These Terms are governed by the laws of Pakistan, without regard to conflict-of-laws rules. Subject to any mandatory rights you have under local consumer law, the courts of Pakistan will have jurisdiction over disputes arising out of or relating to these Terms or the Service.

14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Effective date” above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect means you accept the updated Terms. For paid plans, changes are subject to any notice and consent requirements under applicable consumer law.
